Terms of Service


Northern Continental Logistics (aka "NCL" or "NCL Services") is in the business of supplying logistics services, which are defined as: Supplier of carrier negotiations and contracting, logistical support services, auditing and processing of carrier freight bills, web routing and rating tools, and supplying of financial and transportation reports. The use of such services is subject to the Terms and Conditions set forth below. Any use of such services constitutes the Client's agreement to abide by the following Terms and Conditions.

  • The Client's agreement to these Terms and Conditions will continue until either NCL or the Client gives to the other thirty (30) days written notice of intention to terminate this agreement.
  • All information provided by NCL and its affiliates is owned by or licensed to NCL and its affiliates (the "NCL Information").
  • NCL and its licensors retain all proprietary rights to the NCL Information.
  • NCL has the right to use all material entered into these web pages (other than third party material transmitted through private electronic mail) in any of NCL print or electronic publications.
  • Except for making one hard copy print of limited portions of the NCL Information on an ad hoc basis, or downloading as expressly authorized by NCL, NCL Information may not be reproduced, transmitted or distributed without NCL's permission.
  • The logistical services rendered to the Client by NCL are chosen by the Client from the NCL Menu of Services and the Client will pay NCL based upon the price of the items selected and agreed to in the NCL Menu of Services.
  • The Client agrees that timely payment of all monies due to NCL and freight carriers hereunder is of the essence of this Agreement, and that Client's failure to timely pay said sums in full shall constitute a material breach of this Agreement at which time NCL may immediately terminate this Agreement and immediately suspend all services to the Client.

This site contains many NCL and third party trademarks and service marks.

  • All service marks are the property of their respective companies.
  • All rights in the intellectual property contained in this web site including copyright, trademarks, trade secrets and patent rights are reserved.
  • Access to this web site does not constitute a right to copy or use any of the intellectual property of NCL.

Both NCL and the Client agree not to disclose to any person, firm, institution, or corporation any details or information concerning any service being performed hereunder without the prior consent of the other party.

NCL makes no guarantees or warranties as to the accuracy or completeness of or results to be obtained from accessing and using the NCL Information. Neither NCL nor its affiliates shall be liable to any Client or anyone else for any inaccuracy, error or omission, regardless of cause, in the NCL Information or for any damages resulting there from.

The Client will provide copies of contract rates and agreements with its carriers. NCL and the Client fully understand that services provided by NCL are predicated upon its having received accurate information from the Client. To this end, the parties agree that NCL shall not be liable or responsible for any of its acts which are the result of its having received inaccurate or false information from any supplier including the Client, the Client's Company, its agents, servants and/or employees.

NCL agrees to employ due care and attention in processing Client's data and other material. The Client acknowledges that data processing entails the likelihood of some human and machine errors, omissions, delays, and losses, including inadvertent loss of data or damage to media, which may give rise to loss or damage. Accordingly, the Client agrees that NCL not be liable on account of such errors, omissions, delays or losses unless caused by NCL's gross negligence or willful misconduct.

Clients entering materials on any of these web pages are responsible for the content of that material. NCL has no responsibility for the content of any messages or information posted by Clients, or for the content of information of third parties on the Internet, even if accessed through NCL's pages. However, NCL retains the right, which it may or may not exercise, in its sole discretion, to review, edit or delete from the service any third party material which NCL deems to be illegal, offensive or otherwise inappropriate.

Clients may, through hypertext or other computer "links", gain access to other sites on the Internet which are not part of NCL Web pages. NCL assumes no responsibility for any material outside of the NCL Web pages that may be accessed through any such "link."

Under no circumstances shall NCL, its affiliates, their respective employees and authorized representatives, be liable for indirect, exemplary, incidental or consequential damages, including, but not limited to, loss of anticipated income, profits or savings, or loss resulting from business interruption or as a result of material entered into these web pages by the Client, even if NCL has been advised of the possibility of such damages.

NCL provides a wide selection of services, including bill audit, bill payment, scanning, shipment scheduling, reporting, dashboards, mapping, routing, quoting, etc. These services are detailed in the NCL Menu of Services which is available in the Client's portion of their web site.

The Client is welcome to use any of our services as they need. We understand that Client requirements will change over time, so the Client is welcome to add or remove services at their discretion. The minimum service available requires both the "Freight Audit and Payment" service and the "Website and Reporting" service. Discounts are provided for bundled services and the discounts will apply as long as the Client uses all the services in that bundle.

The Menu of Services can change as NCL increases their technology and staffing. The Client will be notified of any changes to the Menu of Services.
